What Our S-Corp Formation Service Includes
We handle everything required to form your S-Corp and put it to work, as one coordinated package:

Is an S-Corp Right for You? We Tell You Before You Commit
An S-Corp is not the right move for every business, and we will not set one up just to bill you for it. The savings need to outweigh the added cost of payroll and a separate business return.
As a general rule, the S-Corp election starts paying off once your business clears roughly 50,000 dollars in annual net profit. Below that, the added costs often cancel out the benefit. An S-Corp also may not fit if you need multiple classes of stock or have shareholders who are not US citizens or residents.
We run your actual numbers first, then give you a straight answer. If it does not benefit you, we will tell you.
How the Savings Work, in Plain Terms
As a sole proprietor or standard LLC, you pay 15.3% self-employment tax on all of your profit. An S-Corp splits your income into a reasonable salary, which is taxed for payroll, and distributions, which are not subject to self-employment tax. That split is where the savings come from.
The catch is the word reasonable. The salary has to reflect the real value of your work. Set it too low and you invite an IRS audit. Set it too high and you give back the savings. Getting that number right is exactly what we handle for you.inated package, so income from every source is captured correctly and nothing creates an unexpected tax liability.

Already Have an LLC? You Can Still Elect S-Corp Status
You do not need to start over. Your LLC stays an LLC legally, and we simply file Form 2553 to have it taxed as an S-Corp. We then set up the payroll and bookkeeping the new tax status requires.
Timing matters here. The election generally must be filed within two months and 15 days of the start of your tax year, which falls in mid-March for calendar-year businesses. Missed the window? We file late elections under IRS Revenue Procedure 2013-30, often retroactive to your intended start date.
We Stay On After Setup
An S-Corp comes with ongoing filings a sole proprietorship never had. We handle them so nothing slips: running payroll and quarterly payroll tax filings, your federal 1120-S return and Schedule K-1, your Illinois replacement tax return, and your annual report with the Secretary of State. You stay compliant and keep the savings, year after year.
